1. Service Description and Acceptance
Pactline, operated by Rasan Group ("Company", "we", "us", "our"), provides certified consent management infrastructure for AI agents operating in regulated industries ("Service"). This includes consent request workflows, audit logging, compliance tracking, and integrations with AI systems.
By accessing and using Pactline (the website, API, application, and related services), you accept and agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.
2. Account Registration and Responsibilities
2.1 Account Creation
To use Pactline, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and password.
2.2 User Obligations
- You agree to use your account only for authorized purposes
- You agree not to share your account or credentials with others
- You are responsible for all activities that occur under your account
- You agree to notify us immediately of any unauthorized access
2.3 Age and Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use Pactline. If you are using Pactline on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
3. Service Plans and Pricing
3.1 Pricing Tiers
Pactline offers three service plans:

3.2 Price Changes
We may change prices with 30 days' written notice. Continued use of the Service after price changes constitutes acceptance of new pricing. Your existing commitments will not change mid-billing cycle.
4. Billing and Payment Terms
4.1 Free Plan
The Free plan is provided at no charge, subject to fair use limitations of 1,000 requests per calendar month.
4.2 Growth Plan Payment
For the Growth plan, usage is billed at $0.25 per API request on a pay-as-you-go basis. Usage charges are metered and invoiced monthly. Invoices are due within 30 days of issuance.
4.3 Invoicing and Payment Processing
We use Stripe for payment processing. By providing payment information, you authorize us to charge your payment method. You agree to maintain current and valid payment information.
4.4 Failed Payments
If payment fails, we will attempt to collect via the payment method on file. If payment remains unpaid for 15 days, your account may be suspended until payment is received.
4.5 Refunds
Requests for refunds must be made within 30 days of charge. Refunds are issued at our discretion. Growth plan charges for consumed requests are generally non-refundable unless due to service failure.
5. API Usage and Rate Limits
5.1 Rate Limiting
API requests are rate-limited based on your plan. Exceeding rate limits may result in temporary blocking of requests. Abusive usage patterns may result in account suspension.
5.2 Fair Use Policy
You agree to use Pactline in a manner consistent with fair use principles. Excessive usage designed to harm the Service or consume resources disproportionately may violate this policy.
5.3 Usage Tracking
We track API usage for billing and compliance purposes. Usage data is stored in accordance with our Privacy Policy.
6. Acceptable Use Policy
You agree not to use Pactline to:
- Violate any applicable law, regulation, or these Terms
- Infringe upon intellectual property, privacy, or other rights
- Attempt to bypass, disable, or circumvent consent mechanisms or audit logging
- Use the Service to process non-consensual data or unauthorized consent requests
- Engage in fraud, phishing, or malicious activity
- Reverse-engineer, decompile, or attempt to discover the source code of Pactline
- Attack, disrupt, or overload the Service infrastructure
- Help others violate these terms or applicable laws
- Use automated scraping or harvesting without authorization
- Resell the Service without written authorization
7. Data Processing and GDPR Compliance
Pactline processes personal data on your behalf as a data processor. For details on data processing, please refer to our separate Data Processing Agreement (DPA) located at pactline.io/dpa.html.
Note: By using Pactline, you enter into the DPA by reference. The DPA governs how we handle, protect, and process customer data, including compliance with GDPR, CCPA, and other regulations.
8. Intellectual Property Rights
8.1 Pactline Platform
All intellectual property in the Pactline platform, including software, code, documentation, designs, and trademarks, is owned by Rasan Group or its licensors. You are granted a limited, non-exclusive, non-transferable license to use Pactline in accordance with these Terms.
8.2 Customer Data
You retain all ownership rights to data you submit to Pactline ("Customer Data"). You grant Pactline a non-exclusive license to use Customer Data as necessary to provide the Service, including security monitoring, performance improvement, and compliance auditing.
8.3 Feedback
Any feedback, suggestions, or improvements you provide to Pactline may be used by us without obligation or compensation to you.
9. Service Level Agreement (SLA)
9.1 Growth Plan SLA
Pactline commits to 99.9% uptime for the Growth plan, measured on a monthly basis. Uptime excludes scheduled maintenance windows (announced with 48 hours notice) and events beyond our control.
9.2 Enterprise Plan SLA
Enterprise customers receive a 99.99% uptime SLA, plus guaranteed response times and dedicated support. Specific SLA terms are defined in the customer agreement.
9.3 Service Credits
If we fail to meet the applicable SLA, you may be eligible for service credits. Service credits are your sole remedy for unavailability. Credits are calculated as a percentage of monthly fees and are issued subject to claim procedures outlined in the SLA schedule.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Pactline and Rasan Group shall not be liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages
- Our total aggregate liability for all claims arising out of or related to these Terms shall not exceed the total fees you paid in the 12 months preceding the claim
- These limitations apply even if any remedy fails of its essential purpose
11. Indemnification
You agree to indemnify and hold harmless Pactline and Rasan Group from any claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising from:
- Your violation of these Terms
- Your use of Pactline in violation of applicable law
- Your Customer Data or breach of your representations about Customer Data
- Your infringement of third-party rights through your use of the Service
12. Data Security and Breach Notification
We implement industry-standard security measures to protect Customer Data. In the event of a security breach affecting Customer Data, we will notify you within 72 hours (or as required by law) with details about the breach and remediation steps.
13. Termination and Data Portability
13.1 Termination by You
You may terminate your account at any time by providing written notice. Upon termination, we will cease providing the Service.
13.2 Termination by Pactline
We may terminate or suspend your account immediately if you violate these Terms, engage in fraud or abuse, or fail to pay charges when due.
13.3 Data Portability
Upon account termination, you may request an export of your Customer Data in a standard format within 30 days of termination. After 90 days, Customer Data will be permanently deleted.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated to you via email with at least 30 days' notice. Your continued use of Pactline after changes constitutes acceptance of the modified Terms.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of [Jurisdiction to be determined], without regard to conflict of law principles.
15.2 Dispute Resolution
Any dispute arising from these Terms shall first be subject to good faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with [Arbitration rules to be specified], except that either party may seek injunctive relief for breaches of intellectual property or data security provisions.
16. Compliance with Laws
Pactline is designed to support compliance with:
- General Data Protection Regulation (GDPR)
- EU AI Act
- California Consumer Privacy Act (CCPA)
- Health Insurance Portability and Accountability Act (HIPAA)
- Other applicable data protection and AI governance regulations
However, you are responsible for your own compliance with applicable laws. Pactline provides tools to support compliance, but does not guarantee legal compliance.

18. Entire Agreement
These Terms of Service, together with the Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Pactline regarding the Service and supersede all prior agreements and understandings.
